Organizational Model pursuant to Legislative Decree 231/2001

Legislative Decree No. 231 of 8 June 2001 introduced into Italian law a system of criminal responsibility, with companies (legal persons) potentially liable for certain crimes committed or attempted by directors, employees, and/or persons subject to the direction or oversight of a company, in the interest or to the advantage of such parties; this responsibility is in addition to that of the physical person who has materially committed the crime.

Corporate liability is excluded if organization, management and control models (“Models”) suitable for preventing the crimes have been adopted and effectively implemented prior to the commission of the crimes.

In accordance with Legislative Decree No. 231 of 8 June 2001 and the guidelines provided by the Association of Italian Industries (“Confindustria”) for the construction of the Models, and with the aim of ensuring conditions of integrity and transparency in the running of the company’s business activity, TEI ENERGY S.p.A. adopted the organization, management and control model (“Model”) outlined by Legislative Decree No. 231/2001 and instituted the Internal Oversight Body.

The Model contains the Ethics Code and all of the principles and measures aimed at the prevention of the commission of the crimes set out in the decree; the Model also provides for a disciplinary system, which is organized according to the different types of persons to whom the Model is applicable, and is aimed at sanctioning the non-observance of the provisions of the Model.

The Model consists of a “General Part” and individual “Special Parts” that address the different types of crimes and illegal acts to be prevented.  The Ethics Code and the Model are available for consultation (PDF files).

The Internal Oversight Body, which is made of three members nominated by the Board of Directors, is charged with overseeing the effectiveness, functioning and observance of the Model, and handling its updating.
